1. Agreement to Terms

• Use the Services to build a competing product or service;
• Interfere with or disrupt service integrity;
• Attempt to access data or systems without authorization; or
• Use the Services in violation of any applicable laws or third-party rights.

4. Subscription, Fees & Payment

Bizwai offers free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis as selected.
Unless otherwise specified, all fees are non-refundable and non-creditable for partial periods.
We may change pricing or introduce new fees upon reasonable notice. If you do not agree to such changes, you may cancel your subscription before the next billing cycle.

5. Third-Party Integrations & Data

The Services may integrate with third-party software, such as accounting or analytics platforms (e.g., QuickBooks, Power BI).

By enabling these integrations, you authorize Bizwai to securely access, process, and display your data solely for providing the Services.

You remain responsible for compliance with any third-party platform’s terms, policies, and data practices.

6. Your Content & Data

You retain ownership of all data and content (“Your Content”) you submit or upload to Bizwai.
By providing Your Content, you grant Bizwai a limited, worldwide, royalty-free, non-exclusive license to process, store, and display Your Content solely to provide and improve the Services.
You represent and warrant that you have all necessary rights, permissions, and consents to grant this license.

7. Intellectual Property

All rights, title, and interest in and to the Services—including software, algorithms, designs, trademarks, and documentation—remain with Bizwai and its licensors.
Except for the limited license granted to you under these Terms, no rights are transferred or implied.

8. Service Availability & Modifications

We strive to maintain high uptime but do not guarantee uninterrupted operation.
Bizwai reserves the right to modify, suspend, or discontinue the Services (or specific features) at any time, with or without notice.
You agree that Bizwai will not be liable for any modification, suspension, or discontinuation of the Services.

9. Disclaimers & Warranties

The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.
Bizwai disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will meet your requirements, be error-free, or that insights generated by our AI models will guarantee business results or profitability improvements.

10. Limitation of Liability

To the fullest extent permitted by law:

• Bizwai and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity.
• Bizwai’s total cumulative liability for any claim shall not exceed the amount paid by you in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bizwai, its officers, directors, employees, and affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services;
• Your Content;
• Your breach of these Terms; or
• Your violation of any law or third-party rights.

12. Termination

You may stop using the Services at any time by closing your Account.
Bizwai may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or engage in conduct that disrupts or harms the Services.
Upon termination, your license to use the Services ends immediately, and certain provisions (including Limitation of Liability, Indemnification, and Governing Law) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed under the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
You consent to the personal jurisdiction and venue of such courts.

14. Changes to Terms

We may update or modify these Terms periodically. Updated versions will be posted on our website with a revised “Effective Date.”
Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bizwai.
If any provision is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.
You may not assign your rights under these Terms without our prior written consent. Bizwai may assign these Terms without restriction.
